Terms of Service
These Terms of Service ("Terms") govern your engagement with Metric Bridge ("we", "us", "our") for the supply of monthly performance reporting and related advisory services. By engaging us, you agree to these Terms.
1. The service
Metric Bridge provides productized monthly performance reporting for SMEs across three tiers (Tier 1: Report; Tier 2: Report + Portal + Video; Tier 3: Report + Portal + Strategy). Specific deliverables for each tier are described on the website at the time of engagement.
2. Engagement and billing
- Engagements are month-to-month. No fixed-term lock-in.
- Fees are billed monthly in advance. Tier prices are listed on the website in AUD and exclude GST unless stated.
- You may cancel at any time with 7 days' notice before your next billing date.
3. Access to your systems
To deliver the service, we require read-only access to systems you nominate (e.g. Shopify, Meta Ads, Google Analytics, Klaviyo, Xero). You are responsible for granting and revoking access. We do not export or copy your customer data outside source systems.
4. Deliverables and ownership
Reports we produce for you are yours to use within your business. We retain ownership of the underlying report templates, frameworks, methodology, and benchmark aggregates. You may not resell or redistribute Metric Bridge reports or materials without written permission.
5. Refund / first-report guarantee
If your first report does not surface at least one decision worth more than the price paid, we will refund that month's fee on request, made within 14 days of delivery. Subsequent months are not refundable; you may simply cancel future months.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. We can sign a mutual NDA on request.
7. Limitation of liability
Our total liability arising out of or relating to this engagement is limited to the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or business opportunities. Our reports are advisory; business decisions remain your responsibility.
8. Warranties and disclaimers
We provide the service with reasonable care and skill. We do not warrant that any specific business outcome will result from the recommendations. Statistics, benchmarks, and forecasts in reports are estimates based on available data and may differ from actual outcomes.
9. Termination
Either party may terminate the engagement on 7 days' notice. Fees paid for the current month are non-refundable except as set out in clause 5.
10. Governing law
These Terms are governed by the laws of Victoria, Australia. Any dispute will be resolved in the courts of Victoria.
11. Changes
We may update these Terms. Material changes will be communicated to active clients via email at least 14 days before they take effect.
